CIVIL LIABILITY OF MEMBERS OF THE BOARD OF DIRECTORS OF A JOINT STOCK COMPANY UNDER TURKISH LAW

Joint stock companies have two compulsory organs. These are the general assembly and the
board of directors. The difference between the members of the board of directors and the
members of the general assembly is that they take part in the management and representation
of the joint stock company. In addition, members of the board of directors have civil liability.
The purpose of this study is to examine and address the civil liability of the members of the
board of directors of joint stock companies in the light of the doctrinal research method. This
research method is an effective way to analyze the current Turkish legislation.
